INSTRUCTORS ENGAGEMENT TERMS

These Terms of Engagement ("Terms") govern the relationship between Skillfix International ("Skillfix"), a company providing online educational services, and individuals who register and are approved as instructors ("Instructor"), collectively referred to as the "Parties."

By registering as an Instructor on the Skillfix platform and upon approval of their account, the Instructor agrees to be bound by these Terms. These Terms constitute a legally binding agreement and govern all activities undertaken by the Instructor on the Skillfix platform.

1. Scope of Engagement

1.1 Role of the Instructor

The Instructor agrees to create and deliver high-quality course content, including but not limited to:

  • Video lectures
  • Assignments
  • Quizzes
  • Downloadable materials
  • Supplementary learning resources

The Instructor further agrees to ensure that all course content aligns with the subject matter standards outlined by Skillfix.

1.2 Ownership and Licensing

  • The Instructor retains full ownership of their course content.
  • By publishing content on the Skillfix platform, the Instructor grants Skillfix a non-exclusive, worldwide, perpetual, royalty-free, transferable license to host, market, distribute, sublicense, and promote the content.
  • This license remains in effect indefinitely, unless explicitly revoked by Skillfix or as stated under Termination provisions.
  • The Instructor acknowledges that removing their course from the Skillfix platform does not revoke the rights of previously enrolled learners to access the course.

1.3 Content Standards and Compliance

The Instructor warrants and represents that:

  • All content provided is original, does not infringe on any third-party intellectual property rights, and complies with applicable laws.
  • The content adheres to the quality, format, and engagement guidelines set by Skillfix.
  • The content does not contain misleading, defamatory, harmful, offensive, or unlawful material.
  • If third-party material is used, the Instructor has obtained proper licensing or permissions.
  • The Instructor shall indemnify Skillfix against any claims arising from copyright infringement, plagiarism, or legal violations associated with their content.

1.4 Content Updates

  • The Instructor is responsible for updating course content regularly to ensure accuracy and compliance with industry standards.
  • Skillfix may request modifications or updates if the course becomes outdated or non-compliant.
  • Failure to comply with update requests within 30 days may result in course deactivation.

2. Revenue Share and Payments

2.1 Revenue Share Model

  • The Instructor shall receive 60% of revenue generated from course sales, while Skillfix retains 40%.
  • Skillfix reserves the right to adjust revenue-sharing percentages for promotional campaigns, discounts, or bundled sales.

2.2 Payment Schedule

  • Payments shall be made only when initiated by the instructor through their portal. Withdrawal limits apply, where an instructor cannot withdraw an amount less than KES 5,000 or more than KES 20,000 per transaction. Payments are subject to the successful completion of sales transactions, and any pending disputes or refunds may impact the processing timeline.

2.3 Payment Methods and Fees

  • Skillfix will remit payments via the Instructor’s preferred verified payment method.
  • The Instructor is responsible for ensuring their payment details are accurate and up-to-date.
  • Skillfix is not liable for delays caused by third-party payment processors, banking institutions, or incorrect payment details.
  • Transaction fees may apply based on the chosen payment method.

2.4 Taxes

  • The Instructor is solely responsible for reporting and paying all applicable taxes related to their earnings.
  • Skillfix may withhold applicable taxes in accordance with local tax laws and provide tax documentation as required.

3. Instructor Responsibilities

3.1 Course Creation and Submission

  • The Instructor shall submit content in accordance with Skillfix’s content guidelines and deadlines.
  • Courses failing to meet standards may be rejected, modified, or removed.
  • The Instructor must maintain backup copies of all content.

3.2 Learner Engagement

  • The Instructor shall actively engage with learners, provide timely responses, and facilitate discussions.
  • Failure to respond to learners within a reasonable timeframe (e.g., 48 hours) may lead to disciplinary actions, including content/instructors account suspension.

3.3 Compliance with Policies

  • The Instructor shall comply with all Skillfix policies, including but not limited to content policies, community guidelines, and code of conduct.
  • Any violation of policies may result in content removal, suspension, or permanent termination.

4. Skillfix Responsibilities

4.1 Platform and Technical Support

  • Skillfix shall provide a functional platform for hosting, marketing, and distributing courses.
  • Skillfix does not guarantee specific revenue levels or course enrollments.

4.2 Marketing and Promotion

  • Skillfix may promote Instructor courses at its discretion.
  • Marketing strategies may vary based on platform analytics, course performance, and learner demand.

5. Termination

5.1 Termination by Skillfix

Skillfix may immediately terminate an Instructor’s account under the following conditions:

  • Violation of Terms
  • Failure to meet content quality standards
  • Fraudulent activities
  • Harmful conduct affecting Skillfix’s reputation

5.2 Termination by Instructor

  • The Instructor may terminate their engagement with 30 days’ written notice.
  • The Instructor must ensure all learner obligations are fulfilled before termination.

5.3 Post-Termination Provisions

  • Learners who enrolled before termination will retain lifetime access to the course.
  • The Instructor remains entitled to revenue from prior enrollments.
  • Skillfix retains a perpetual license to host the content for existing students.

6. Confidentiality

  • The Instructor shall not disclose any proprietary or confidential information received from Skillfix.
  • Confidentiality obligations survive termination of this agreement.

7. Indemnification

The Instructor agrees to indemnify and hold Skillfix harmless from any claims, damages, or liabilities arising from:

  1. Intellectual property violations
  2. Breach of applicable laws
  3. Third-party claims related to course content

8. Dispute Resolution

  • Any disputes shall first be resolved through negotiation.
  • If unresolved, disputes shall be settled via arbitration under Kenyan law.
  • The arbitrator’s decision shall be final and binding.

9. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

10. Miscellaneous

10.1 Entire Agreement

These Terms constitute the entire agreement between the Parties and supersede all prior understandings.

10.2 Amendments

  • Skillfix may modify these Terms at its discretion.
  • Instructors will be notified of changes, and continued use of the platform implies acceptance.

10.3 Governing Law

These Terms shall be governed by Kenyan law.

11. Acceptance

By registering as an Instructor and having their account approved, the Instructor acknowledges and agrees to these Terms of Engagement.
